Terms of Use

PLEASE READ THESE TERMS OF USE CAREFULLY.

These Terms of Use (“Agreement”) constitute a legally binding agreement between you, whether as an individual or legal entity (“You” or “Your”), and LeadBranch.io.io (“LeadBranch.io,” “We,” “Us,” or “Our”). You and LeadBranch.io may be referred to individually as a “party” and collectively as the “parties.”

By accessing or using the LeadBranch.io platform, You affirm that:
– If You are an individual, You are at least 18 years old and legally competent to enter into this Agreement; or
– If You are acting on behalf of an entity, You have the authority to bind that entity to this Agreement.

This Agreement includes these Terms of Use, Our Privacy Policy, and any applicable rules, policies, or order forms (collectively, the “Agreement”). By accessing or using Our website, portal, software, code, technology, or services (collectively, the “Platform”), You acknowledge that You have read, understood, and agree to be bound by this Agreement.

If You do not agree to the terms of this Agreement, or if You are not legally permitted to enter into a binding contract, You must not access or use the Platform.

If You are accessing the Platform on behalf of an entity, You represent and warrant that You have the authority to bind such entity to this Agreement.

YOUR ACCOUNT

To access the Platform, You must complete registration and create an Account. By doing so, You agree to:

Provide accurate, complete, and current information;

Maintain and promptly update such information;

Choose a username that is not offensive, infringing, or misleading; and

Safeguard Your login credentials and be solely responsible for all activity under Your Account.

You must notify Us immediately of any unauthorized access or suspected breach of security. Accounts created by automated means (e.g., bots) are strictly prohibited. All account information will be treated as Confidential Information as defined in Section 8.

LEADBRANCH.IO SERVICES

LeadBranch.io is a lead management and engagement platform that provides tools for Users to collect, organize, verify, and engage with Leads.

Key components of the Platform include:

A CRM system for storing and managing Leads;

Tools to send outbound marketing campaigns including email and SMS/text messages;

Lead capture tools and optional verification technology (e.g., scripts to log source, timestamps, or context for Lead submissions).

You are responsible for:

Ensuring You have obtained all necessary rights and consents to contact Leads;

Complying with all applicable laws and regulations (e.g., TCPA, CAN-SPAM, GDPR);

Ensuring content sent through LeadBranch.io is lawful and non-deceptive.

We do not provide legal advice. You are solely responsible for Your compliance with applicable marketing and data privacy laws.

OWNERSHIP AND LIMITED LICENSE

Subject to Your compliance with this Agreement and payment of applicable fees, We grant You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform during the term specified in the applicable Order Form and solely for Your internal business purposes.

All rights not expressly granted are reserved. The Platform, including all software, scripts, and enhancements, are protected by U.S. and international intellectual property laws and remain Our property or the property of Our licensors.

You may not:

Modify, copy, or reverse engineer any part of the Platform;

Disclose performance benchmarks without permission;

Circumvent usage tracking or restrictions;

Resell or sublicense the Platform without authorization.

YOUR RESPONSIBILITIES

You are solely responsible for:

Ensuring the legality of Your use of the Platform;

All activity conducted through Your Account;

Maintaining backups of Your Content and Data;

Ensuring communications sent via the Platform comply with applicable law.

You agree not to:

Use the Platform for unlawful purposes;

Upload malicious code;

Attempt to disrupt or access parts of the Platform without authorization.

NONCOMPETE AND NON-SOLICITATION

You shall not, directly or indirectly, during the term of this Agreement and for one (1) year thereafter:

Develop, market, or sell a product or service that competes with LeadBranch.io;

Use any confidential or proprietary information of LeadBranch.io to solicit or target its customers or business partners;

Hire or solicit for employment any current LeadBranch.io employee without prior written consent.

This section survives termination of the Agreement.

PRIVACY POLICY

You acknowledge that Your use of the Platform is subject to LeadBranch.io’s Privacy Policy, which describes how We collect, use, and disclose personal information. By using the Platform, You consent to the practices described in the Privacy Policy.

If You provide personal information of others (including Leads), You represent and warrant that You have all necessary rights and consents to do so.

CONFIDENTIALITY

“Confidential Information” means all nonpublic information disclosed by either party to the other that: (a) is identified as confidential at the time of disclosure; or
(b) reasonably should be understood to be confidential given the nature of the information and the context of disclosure.

Each party agrees to:

Maintain the confidentiality of the other party’s Confidential Information using at least the same degree of care it uses to protect its own;

Not disclose Confidential Information to any third party without prior written consent (except to employees or advisors with a need to know);

Use Confidential Information solely to perform obligations or exercise rights under this Agreement.

Confidential Information does not include information that is or becomes publicly available without breach, was lawfully known prior to disclosure, is independently developed, or is disclosed under legal obligation.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless LeadBranch.io and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:

Your use of the Platform;

Your Content and Data;

Any breach of this Agreement;

Violation of applicable law or rights of a third party.

LeadBranch.io reserves the right to assume exclusive defense and control of any matter subject to indemnification, in which case You will cooperate fully as reasonably required.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, in no event shall leadbranch.io, its affiliates, or their respective officers, directors, employees, or agents be liable to you or any third party for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of revenue, profits, goodwill, data, or business interruption, arising out of or in connection with your use of the platform, regardless of the form of action, whether in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages.

In no event shall leadbranch.io’s total cumulative liability under this agreement exceed the amount paid by you to leadbranch.io for the platform in the six (6) months immediately preceding the event giving rise to the claim.

DISCLAIMER OF WARRANTIES

The platform and all related content and services are provided “as is” and “as available” without warranty of any kind, express or implied. Leadbranch.io disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Leadbranch.io does not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components, or that any information provided is accurate or reliable.

You use the platform at your own risk.

TERM AND TERMINATION

This Agreement is effective as of Your first use of the Platform and continues until terminated by either party as described below.

Either party may terminate this Agreement:

For convenience, with thirty (30) days’ written notice to the other party;

Immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within ten (10) days of receiving notice.

Upon termination:

Your license to access and use the Platform will immediately cease;

You shall delete or destroy any copies of LeadBranch.io materials in Your possession;

Sections that by their nature should survive (including Ownership, Confidentiality, Indemnification, Disclaimers, and Limitation of Liability) shall remain in effect.

PAYMENTS TERMS

You agree to pay all fees as specified on Your Order Form. You will provide LeadBranch.io with valid credit card or ACH information or with alternative document reasonably acceptable to Us. When You provide credit card or ACH information, You authorize LeadBranch.io to charge such credit card or bank account for the Services provided under the Order Form for the initial term and any renewal terms. Fees shall be charged in advance, either monthly or in accordance with any different billing frequency stated in the applicable Order Form. Unless specified otherwise in the Order Form, LeadBranch.io will invoice You for all regularly recurring fees, such as subscription fees, as well as, all usage-based fees. LeadBranch.io may increase the subscription fees for any renewal terms. You will provide such information as reasonably required to determine whether LeadBranch.io is obligated to collect any taxes from You. Fees do not include any foreign, federal, state, or local sales, use, or other similar taxes, however designated and/or levied.  You shall pay, or reimburse LeadBranch.io for, any and all such taxes imposed and paid by LeadBranch.io.

Any amount owed by You which is not paid when due will bear interest at the rate of one percent (1%) per month or the maximum amount allowable by law, whichever is less. You shall pay LeadBranch.io’s reasonable costs and expenses (including reasonable attorney fees) to enforce its rights under this Agreement. You must notify LeadBranch.io in writing of any dispute of fees (along with substantiating documentation and a reasonably detailed description of the dispute) within ten (10) business days following the date of invoicing, or Your right to dispute such fees is forever waived. All amounts payable under this Agreement shall be paid by You in full without any setoff, recoupment, counterclaim, deduction, debit, or withholding for any reason (other than any deduction or withholding of tax as may be required by applicable law). The parties shall seek to resolve any disputes expeditiously and in good faith.

SUSPENSION OF ACCESS

LeadBranch.io may suspend Your access to the Platform immediately, with or without notice, if:

You breach this Agreement;

Required by law or government order;

Continued access would pose a risk to the Platform’s security, integrity, or availability.

Suspension does not relieve You of Your obligations under this Agreement. If suspension is due to non-payment or violation, You remain liable for applicable fees during the suspension period.

GEOGRAPHICAL RESTRICTIONS
The Platform is intended for use solely within the United States and is directed to clients located in the United States. We make no representation that the Platform is appropriate or available for use in other locations. Unless expressly stated otherwise, all marketing and promotional materials accessible through the Platform are intended for individuals, businesses, and entities located within the United States.

LeadBranch.io reserves the right, in its sole discretion, to limit the availability of any feature, product, or service to any person or geographic area. Any offer made through the Platform is void where prohibited.

If You choose to access the Platform or use its services from outside the United States or via a third-party platform, You do so at Your own risk and are solely responsible for complying with local laws. By accessing the Platform from outside the United States, You acknowledge and agree that Your information may be transferred to and maintained on servers located in the United States, where privacy laws may differ from those in Your jurisdiction. By submitting Your information, You consent to such transfer and to the collection, use, and disclosure of Your information in accordance with United States law and Our [Privacy Policy].

GOVERNING LAW AND VENUE
This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of Michigan, without regard to conflict of law principles. You agree that any claims, disputes, or legal proceedings arising out of or relating to Your use of the Platform shall be brought exclusively in the state or federal courts located in Kent County, Michigan. You hereby irrevocably consent to the jurisdiction and venue of such courts and waive any objections thereto.

ASSIGNMENT
You may not assign or transfer any rights or delegate any obligations under this Agreement without the prior written consent of LeadBranch.io. Any attempted assignment without such consent will be null and void. LeadBranch.io may assign its rights or delegate its obligations under this Agreement, in whole or in part, at any time and in its sole discretion.

NON-WAIVER
A failure or delay by either party to exercise any right or enforce any provision of this Agreement shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by the party granting the waiver. A waiver of any breach or default will not constitute a waiver of any subsequent breach or default.

THIRD-PARTY AND AFFILIATE WEBSITES
The Platform may contain links to third-party or affiliate websites. LeadBranch.io has no control over and assumes no responsibility for the content, policies, accuracy, or performance of any third-party websites. We make no guarantees about the completeness, legality, or decency of any third-party content accessible via the Platform.

You acknowledge and agree that Your use of any third-party websites is at Your own risk. LeadBranch.io is not responsible for the privacy practices or data collection policies of such sites, even if affiliated with or accessible through the Platform.

ELECTRONIC COMMUNICATIONS
To provide You with the benefits of the Platform, We conduct business electronically. By using the Platform, You:
(i) consent to receive communications from Us in electronic form; and
(ii) agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

Your consent applies to all interactions and transactions with Us. You may withdraw this consent by contacting Us at info@LeadBranch.io. If You withdraw consent, You must stop using the Platform immediately. The withdrawal will not affect the validity of communications or transactions made prior to the withdrawal. You are responsible for keeping Your email and mailing address up to date.

NOTICES
We may provide notice to You via email, posting on the Platform, or by other reasonable means. You must send any notices to Us via email at info@LeadBranch.io or as otherwise specified.

SURVIVAL
Any provisions of this Agreement that by their nature should survive termination—including those related to ownership, confidentiality, indemnity, and licenses—shall remain in effect after the expiration or termination of this Agreement.

ENTIRE AGREEMENT
These Terms of Use, together with Our Privacy Policy, and any applicable orders or addenda, constitute the entire agreement between You and LeadBranch.io regarding the Platform and supersede all prior or contemporaneous understandings, agreements, or communications, whether written or oral.
